Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Basalt Labs ("Company," "we," "us," or "our"), governing your access to and use of the Cleo personal assistant service, including all associated web applications, APIs, telephony features, and related services (collectively, the "Service"), accessible at basaltlabs.app.

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Effective" date at the top of this page. Your continued use of the Service following any such modification constitutes your acceptance of the revised Terms.

2. Description of Service

Cleo is a voice-first artificial intelligence personal assistant that provides the following capabilities:

• Outbound phone calls: Cleo can place telephone calls to third parties on your behalf using voice AI technology powered by ElevenLabs and telephony infrastructure provided by Telnyx.
• Google Calendar management: With your explicit authorization via Google OAuth 2.0, Cleo can read, create, and manage calendar events on your behalf.
• Gmail management: With your explicit authorization via Google OAuth 2.0, Cleo can read, search, compose, send, and reply to emails on your behalf.
• Personal knowledge base: Cleo can store and recall facts, preferences, and information you explicitly ask it to remember.
• SMS notifications: Cleo sends SMS messages to notify you of completed tasks, call outcomes, and other relevant updates.

The Service utilizes large language model technology provided by Anthropic (Claude) for natural language understanding and reasoning. Voice synthesis and speech recognition are provided by ElevenLabs. Telephony and SMS services are provided by Telnyx.

Cleo is an AI assistant. While designed to be helpful and accurate, Cleo may occasionally produce errors, misinterpret instructions, or generate responses that are incomplete or inaccurate. You acknowledge that the Service is not a substitute for professional advice in legal, medical, financial, or other specialized domains.

3. Account Registration & Security

To access the Service, you must create an account by providing accurate and complete information, including a valid phone number verified via SMS one-time passcode ("OTP").

You agree to:

• Provide truthful, accurate, and current information during registration and at all times thereafter.
• Maintain the security and confidentiality of your account credentials and any devices used to access the Service.
• Immediately notify us of any unauthorized access to or use of your account.
• Accept full responsibility for all activities that occur under your account, whether or not authorized by you.

You must be at least eighteen (18) years of age to create an account and use the Service. By registering, you represent and warrant that you meet this age requirement. The Service involves placing outbound telephone calls and managing email communications on your behalf, activities that require the legal capacity of an adult.

We reserve the right to suspend or terminate any account that we reasonably believe contains false or misleading information, or that has been compromised.

4. Subscription & Billing

The Service is offered under the following subscription tiers:

• Trial ($0): Limited access including up to two (2) outbound calls. Email, calendar, and memory features are not available on the Trial tier.
• Personal ($29/month): Full access to all Service features for individual use.
• Business ($99/month): Full access to all Service features with expanded capacity for business use.

Paid subscriptions are billed on a recurring monthly basis. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis until you cancel your subscription.

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period, and you will retain access to the Service until that time. We do not provide prorated refunds for partial billing periods unless required by applicable law.

We reserve the right to modify pricing, features, or tier structures at any time. We will provide reasonable notice of any pricing changes to existing subscribers before they take effect.

5. Permitted Use

The Service is intended for lawful personal and business assistant tasks. You may use Cleo to:

• Place legitimate outbound phone calls for personal or business purposes, such as scheduling appointments, making reservations, or conducting routine inquiries.
• Manage your Google Calendar and Gmail in a manner consistent with the intended functionality of those platforms.
• Store personal preferences, notes, and factual information in your knowledge base.
• Receive SMS notifications regarding tasks performed by Cleo on your behalf.

All use of the Service must comply with applicable local, provincial, national, and international laws and regulations, including but not limited to telecommunications regulations, anti-spam legislation, and privacy laws.

6. Prohibited Use

You expressly agree not to use the Service for any of the following purposes:

• Fraud or misrepresentation: Using Cleo to deceive, defraud, or mislead any person or entity, including misrepresenting Cleo's identity or your own identity during phone calls.
• Impersonation: Directing Cleo to impersonate any real person, government official, law enforcement officer, or representative of any organization without proper authorization.
• Harassment or threats: Using Cleo to harass, intimidate, threaten, stalk, or cause distress to any person.
• Spam or unsolicited communications: Using Cleo to place bulk unsolicited calls, send mass communications, or engage in telemarketing or robocalling activities.
• Illegal activity: Using the Service to facilitate, promote, or engage in any activity that violates applicable law, including but not limited to activities related to money laundering, terrorist financing, drug trafficking, or any other criminal offense.
• Abuse of the call system: Placing calls to emergency services (911 or equivalent), placing excessive calls intended to disrupt or overwhelm telephone systems, or using the call feature for any purpose inconsistent with legitimate personal or business communication.
• Interference with the Service: Attempting to disrupt, disable, overburden, or impair the Service or its underlying infrastructure, or circumventing any security measures, rate limits, or access restrictions.
• Unauthorized access: Attempting to access accounts, systems, or data belonging to other users or to Basalt Labs without authorization.
• Automated abuse: Using bots, scripts, or automated tools to interact with the Service in a manner that exceeds normal human usage patterns.

Violation of any of the foregoing prohibitions may result in immediate suspension or termination of your account, without notice or refund, and may be reported to the appropriate legal authorities.

7. Third-Party Services & Integrations

The Service relies on and integrates with several third-party services, each of which is governed by its own terms of service and privacy policy. By using the Service, you acknowledge and agree to the following:

7.1 ElevenLabs

Provides voice synthesis, speech recognition, and conversational AI infrastructure. Your voice interactions are processed by ElevenLabs in accordance with their Terms of Service and Privacy Policy.

7.2 Anthropic (Claude)

Provides large language model capabilities that power Cleo's reasoning and natural language understanding. Conversation content is processed by Anthropic's Claude model through ElevenLabs' agent infrastructure, subject to Anthropic's Terms of Service.

7.3 Telnyx

Provides telephony infrastructure for outbound calls and SMS messaging. Your use of call and messaging features is subject to Telnyx's Terms and Conditions and applicable telecommunications regulations.

7.4 Google

When you connect your Google account, you authorize Cleo to access your Google Calendar and Gmail via OAuth 2.0. Your use of Google services through Cleo remains subject to Google's Terms of Service. You may revoke Cleo's access to your Google account at any time through your Google Account permissions.

We are not responsible for the availability, accuracy, or reliability of any third-party service, and we disclaim all liability arising from the acts or omissions of third-party providers. If any third-party service becomes unavailable or modifies its terms in a manner that affects the Service, we may adjust or discontinue affected features accordingly.

8. Intellectual Property

All rights, title, and interest in and to the Service, including but not limited to the software, design, branding, logos, user interface, documentation, and any proprietary technology (collectively, "Cleo IP"), are and shall remain the exclusive property of Basalt Labs. Nothing in these Terms grants you any right, title, or interest in the Cleo IP except for the limited right to use the Service as expressly permitted herein.

You retain all rights to the content you create, upload, or generate through the Service, including but not limited to knowledge base entries, emails drafted via Cleo, and any personal data you provide ("User Content"). By using the Service, you grant Basalt Labs a limited, non-exclusive, revocable license to process and store your User Content solely for the purpose of providing and improving the Service.

You may not copy, modify, distribute, sell, lease, reverse-engineer, decompile, or create derivative works based on any part of the Service without prior written consent from Basalt Labs.

9. Privacy

Your privacy is important to us. Our collection, use, storage, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to the collection and processing of your personal information as described in the Privacy Policy. We encourage you to review the Privacy Policy carefully before using the Service.

10. Service Availability & Modifications

We strive to maintain reliable access to the Service, but we do not guarantee uninterrupted, error-free, or secure operation at all times. The Service may be temporarily unavailable due to maintenance, updates, server failures, third-party service outages, or circumstances beyond our reasonable control.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, including but not limited to:

• Adding, modifying, or removing features and capabilities.
• Adjusting usage limits, rate limits, or service quotas.
• Updating the underlying AI models, voice profiles, or telephony providers.
• Changing subscription tiers, pricing, or billing cycles (with reasonable notice to existing subscribers).

We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

BASALT LABS DOES NOT WARRANT THAT:

• The Service will meet your specific requirements or expectations.
• The Service will be uninterrupted, timely, secure, or error-free.
• The results obtained from the use of the Service, including AI-generated responses, phone calls, or email communications, will be accurate, complete, or reliable.
• Any defects in the Service will be corrected.

IN NO EVENT SHALL BASALT LABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF BASALT LABS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO BASALT LABS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.

You acknowledge that Cleo is an AI assistant and that actions taken by Cleo on your behalf, including phone calls placed, emails sent, and calendar events created, are performed at your direction and at your own risk. Basalt Labs is not liable for any consequences arising from communications made by Cleo on your behalf.

12. Indemnification

You agree to indemnify, defend, and hold harmless Basalt Labs, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or access to the Service.
• Your violation of these Terms or any applicable law or regulation.
• Your violation of any rights of any third party, including intellectual property, privacy, or contractual rights.
• Any content you submit, transmit, or make available through the Service.
• Any phone calls placed, emails sent, or other communications made by Cleo at your direction.

This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Quebec, located in the judicial district of Montreal. You hereby irrevocably consent to the jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

14. Termination

You may terminate your account and cease using the Service at any time by contacting us at the address listed in Section 15.

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including but not limited to situations where:

• You breach any provision of these Terms.
• We are required to do so by law or regulatory order.
• We reasonably believe your use of the Service poses a risk to the Service, other users, or third parties.
• Your account has been inactive for an extended period.

Upon termination, your right to access and use the Service will cease immediately. You may request deletion of all personal data associated with your account by contacting us at the address listed in Section 15. We will process such deletion requests within thirty (30) days, subject to any legal obligations requiring us to retain certain data.

The following provisions shall survive termination: Section 6 (Prohibited Use), Section 8 (Intellectual Property), Section 11 (Limitation of Liability), Section 12 (Indemnification), Section 13 (Governing Law), and this Section 14.
